No Relocation Available? No Primary Purpose Partners with Division Legal Counsel and Telecom business and commercial managers in assisting the Telecom Division with review of legal instruments. Duties can include reviewing, redlining prime agreements with Telecom clients for potential work scopes including services work, construction management, or engineering, procurement and construction as well as non disclosure agreements, amendments and certain project subcontracts so that revised document reflects B&V risk mitigation policies. Limited negotiation of these documents as necessary under supervision of Division Legal Counsel, routing of documents for internal review and execution as well as storage of executed agreements using the B&V SharePoint system. Principal Duties and Responsibilities Reviews proposal documents, assists in identifying proposal requirements, reviews terms and conditions for compliance with legal, commercial and corporate requirements.
Prepares redlined contract documents or memo format recommendations of terms, revisions and other proposal support as required.
Drafts and administers amendments to prime contracts with supervision from Division Legal Counsel. Prepares summaries of client contract terms and obligations; identifies non-compliant provisions for management review; advises internal clients of contractual rights and obligations and provides interpretation of terms and conditions.
Coordinates and assists commercial managers with renewals of subcontracts for certain major projects as necessary. Using a subcontract template as a guide, populate a negotiation log that tracks the progress of the discussions. Works relatively independently with oversight from commercial managers and Division Legal Counsel. This work will be concentrated at certain times of year.
Routes negotiated agreements internally for signature.
Maintains contract databases, files and documentation, including the electronic scanning and indexing of original contracts. General filing as necessary.
Assists with the establishment and implementation of internal contracts processes and procedures. Minimum Qualifications 2+ years of related experience in contract administration or paralegal duties
Bachelor's Degree or paralegal certification Preferred Job Qualifications Knowledge of basic contractual legal items, ability to conform a client agreement to comport with B&V risk mitigation polices using track changes, memo format or negotiation log.
Ability to comprehend and explain legal issues and positions in a persuasive manner.
Excellent written/verbal communication skills Strong organizational skills with attention to detail.
Ability to work well both independently and collaborate within a team environment to meet schedule deadlines.
Strong computer skills and intermediate to advanced level proficiency working with Microsoft Office, including the ability to redline contract documents, using "track changes" and ability to use programs such as PDF Transformer 3.0., DeltaView, PowerPoint, B&V specific programs such as Electronic Time Sheet, Markview and Performance BluePrint and ability to operate general office equipment.
Ability to adhere to the Division's Environmental, Safety, Health and Security program as well as the Division's Quality Management System.
